ACQUISITION DU GROUPE EFRON EN ESPAGNE

Commentant le chiffre d'affaires et les acquisitions, Vincent Rouaix, Président-directeur général de Gfi Informatique, a indiqué : « Gfi Informatique a connu une activité très soutenue au cours de ce trimestre. Avec l'acquisition du Groupe Efron, le Groupe renforce significativement son positionnement auprès des grands clients espagnols et se dote parallèlement des moyens de les accompagner sur d'autres territoires et notamment en Amérique du Sud ».

PROGRESSION DE L'ACTIVITÉ AU TROISIÈME TRIMESTRE EN FRANCE

• En France : solide croissance organique

Au troisième trimestre, Gfi Informatique a réalisé en France un chiffre d'affaires en croissance de +8,1% à 192,3 M€ dont 7,4% de croissance organique.

Le taux journalier moyen (TJM) et le taux d'activité (TACE) sont globalement stables par rapport à ceux du troisième trimestre 2015, avec notamment un bon niveau en Infrastructure Services (IS) et des niveaux plus faibles sur les activités Application Services (AS) ou le Conseil. Les effectifs productifs s'élèvent à 8 481 au 3e trimestre, contre 7 863 au 3e trimestre 2015, soit une progression de 7,8%, en ligne avec la croissance du chiffre d'affaires. L'activité commerciale sur le trimestre a été très soutenue et le ratio de book to bill glissant au 30 septembre 2016 s'élève à 1,22.

• À l'international : progression à deux chiffres

À l'international, les ventes du trimestre se sont élevées à 38,8 M€. Elles sont en croissance de 23,6%, dont 8,7% de croissance organique. Depuis le début de l'année, les ventes s'élèvent à 117,2 M€ et représentent une croissance de 23,9%, dont 13,0% de croissance organique.

• L'Europe du Sud (11,2% du chiffre d'affaires) : la péninsule ibérique, tant en Espagne qu'au Portugal, continue de bénéficier d'une dynamique soutenue et affichent respectivement une croissance organique de 7,3% et 24,5%
• L'Europe du Nord et de l'Est (3,7% du chiffre d'affaires) : l'activité du trimestre (10,5 M€) est en très forte croissance (+83,7%) grâce à l'apport des activités de la société Impaq en Pologne

ACQUISITION DU GROUPE EFRON PRESENT EN ESPAGNE, AMÉRIQUE DU NORD ET DU SUD

Avec près de 750 collaborateurs, Efron est une ESN espagnole reconnue avec un chiffre d'affaires de 37 M€. Le groupe réalise ainsi plus de 30 M€ sur le marché espagnol. Efron compte ainsi des clients prestigieux dans les secteurs notamment banques/assurances et santé. Grâce à cette opération, Gfi Informatique augmente fortement sa part de marché en Espagne (+30%) et renforce sa présence chez des comptes clés tels que Santander, BBVA, Telefonica, Mapfre ou Quiron auprès desquels le Groupe compte développer l'ensemble de son portefeuille d'offres. Efron est également solidement implanté en Amérique (20% du chiffre d'affaires), accompagnant ses clients en Amérique du Nord, au Mexique et en Colombie. Efron sera consolidé à compter du 1er octobre 2016. L'augmentation de notre taille critique sur ces marchés devrait contribuer rapidement à l'amélioration de la profitabilité régionale.

SITUATION FINANCIÈRE

À ce jour, aucun événement connu n'est venu affecter la situation financière du Groupe.

CONFIRMATION DES OBJECTIFS DU GROUPE

À conjoncture équivalente, le Groupe considère que le second semestre devrait confirmer la croissance enregistrée au premier semestre. Comme indiqué lors de la publication des comptes du premier trimestre, la saisonnalité sera très marquée. Sur l'exercice, le Groupe confirme donc s'attendre à une amélioration de sa marge opérationnelle et de son résultat net.

Par ailleurs, le Groupe poursuivra sa stratégie de croissance externe.

Revenue for the third quarter of 2016

ACQUISITION OF EFRON IN SPAIN

Saint-Ouen (France), 3 November 2016 - Gfi Informatique recorded third quarter revenue of €231.1m, up by +10.4% compared with the same period the previous year, with organic growth of +7.6%.

Commenting on sales performance and the acquisitions, Vincent Rouaix, Chairman and Chief Executive Officer of Gfi Informatique, said: 'It was a very good quarter for Gfi Informatique. The acquisition of Efron will significantly strengthen the group's position with major Spanish customers and enable it to accompany them in other regions, particularly South America'.

REVENUE GROWTH IN FRANCE

• In France: strong organic growth

Gfi Informatique recorded an 8.1% increase in sales in France to €192.3m in the third quarter, with organic growth of 7.4%.

The average daily rate (TJM) and the activity rate (TACE) were stable overall compared with Q3 2015, with strong levels in Infrastructure Services (IS) and lower levels in Application Services (AS) and Consulting. The number of productive staff stood at 8,481 people in Q3 2016 compared with 7,863 in the third quarter of 2015, corresponding to an increase of 7.8%, in line with revenue growth. Sales activity was very robust during the quarter and the year-on-year book to bill ratio at 30 September 2016 was 1.22.

• Internationally: double-digit growth

International sales were up by 23.6% to €38.8m for the quarter and up by 8.7% on an organic basis. Accumulated sales since the beginning of the year amounted to €117.2m, up by 23.9% overall compared with the same period the previous year, with organic growth of 13.0%.

• Southern Europe (11.2% of revenue): the growth momentum remained very strong in the Iberian Peninsula with organic growth in Spain and Portugal of respectively 7.3% and 24.5%.
• Northern and Eastern Europe (3.7% of revenue): activity grew very strongly during the quarter with revenue up by 83.7% to €10.5m, thanks to the contribution from Impaq's business in Poland.

ACQUISITION OF EFRON ITH OPERATIONS IN SPAIN, NORTH AMERICA AND LATIN AMERICA

Efron is a reputed Spanish digital services firm with nearly 750 employees and revenue of €37 million. It generates more than €30 million of its revenue in the Spanish market. Its customers include major players in the banking, insurance and healthcare sectors. This acquisition greatly strengthens Gfi Informatique's position in Spain (+30%) and will reinforce its presence in key accounts such as Santander, BBVA, Telefonica, Mapfre or Quiron where it can develop its entire services and products portfolio. Efron is also firmly established in America (20% of revenue), serving its customers in North America, Colombia and Mexico. Efron will be included in the Group's consolidation scope as from 1 October 2016. The increase in critical mass in these markets will rapidly contribute to improved profitability in the region.

FINANCIAL POSITION

There are currently no known events that affect the Group's financial situation.

THE GROUP CONFIRMS ITS FULL YEAR TARGETS

Economic conditions being equal, the Group expects the second half to confirm the growth recorded in the first half. As indicated when the first quarter results were released, the seasonal effect is expected to be very pronounced. For the full year, the Group confirms that it is expecting to see an improvement in its operating margin and net income.

The Group also intends to continue with its acquisitions strategy.
