1 INTRODUCTION
Le présent rapport de gestion annuel (ci-après « rapport de gestion ») d'Exploration Typhon inc. (ci-après « Typhon » ou « la Société ») devrait être lu en conjonction avec les états financiers annuels audités de l'exercice clos le
28 février 2021. Ceux-ci, ainsi que ceux de la période correspondante de l'année précédente, ont été préparés selon les Normes internationales d'information financière (IFRS). La note 3 des états financiers annuels énonce en détail ces méthodes comptables.Ce rapport de gestion est daté du 25 juin 2021. Tous les montants sont en dollars canadiens.
Le présent rapport de gestion contient des énoncés prospectifs qui, en date de sa publication, reflètent les attentes, estimations et projections de la Société quant à ses opérations, à l'industrie minière en général et à l'environnement économique dans lequel elle évolue. Bien que raisonnables, ces énoncés comportent un certain élément de risque et d'incertitude, de sorte qu'il n'y a aucune garantie qu'ils seront réalisés. Par conséquent, les résultats réels peuvent varier de façon importante par rapport à ceux mentionnés ou prévus dans ces énoncés prospectifs.
2 APERÇU DE LA SOCIÉTÉ
Exploration Typhon inc., incorporée en vertu de la Loi canadienne sur les sociétés par actions, est une société d'exploration qui œuvre au Canada. Elle est un émetteur assujetti en Alberta, en Colombie--Britannique et au Québec; et ses titres se négocient sur la Bourse de croissance TSX, sous le symbole boursier TYP. Elle est l'unique propriétaire des propriétés Aiguebelle-Goldfields, Syénite Condor, Ranger et Windfall; et elle détient un intérêt de 50 % dans la propriété Destorbelle. 3 CHANGEMENTS AU CONSEIL D'ADMINISTRATION
En avril 2020, Monsieur Léo Patry a démissionné des postes de membre du conseil d'administration et de membre du comité de vérification de la Société; et Monsieur André Gauthier a été nommé membre du conseil d'administration. D'autre part, un nouveau comité de vérification a été formé avec Serge Roy, André Gauthier et Yves Dufour. Et Madame Hélène Saint-Denis a été nommée secrétaire de la Société.
Un an plus tard, soit le 2 avril 2021, les membres du conseil d'administration ont résolu de nommer Monsieur Martin Bourgoin au conseil d'administration de la Société, à titre d'administrateur, nomination approuvée par la Bourse de croissance du TSX le 3 juin 2021.
1 INTRODUCTION
This Annual Management Discussion and Analysis (hereinafter referred to as "MD&A") should be read in conjunction with the audited annual financial statements of Typhoon Exploration Inc. (hereinafter "Typhoon" or "the Company") for the year ended February 28, 2021. These interim financial statements, and those of the corresponding period of last year, were prepared in compliance with the International Financial Reporting Standards (IFRS). Note 3 of the Annual Financial Statements provides details on these accounting policies. This MD&A is prepared as of June 25, 2021. All dollar figures stated herein are expressed in Canadian dollars.
This MD&A contains forward-looking statements that reflect, at the date of the MD&A, the Company's expectations, estimates and projections with regard to its operations, the mining industry in general, and the economic environment in which it operates. Although reasonable, the statements entail a certain amount of risk and uncertainty, and there is no guarantee that they will prove to be accurate. 2 COMPANY OVERVIEW
Typhoon Exploration Inc., incorporated under the Canada Business Corporations Act, is an exploration company operating in Canada. Typhoon is a reporting issuer in Alberta, British Columbia and Quebec, and trades on the TSX Venture Exchange under the symbol TYP. The Company is the sole owner of the Aiguebelle-Goldfields, Syenite Condor, Ranger and Windfall properties; and it holds a 50% interest in the Destorbelle Property. All the Company's commitments regarding mining claims are in good standing.
3 CHANGES TO THE BOARD OF DIRECTORS
In April 2020, Mr. Léo Patry resigned from the Board of Directors and the Audit Committee, and André Gauthier was nominated to the Board of Directors of the Company. Furthermore, a new Audit Committee was formed with Serge Roy, André Gauthier and Yves Dufour. And Hélène Saint-Denis was nominated as Secretary of the Company.
On April 2, 2021, the members of the Board resolved to appoint Mr. Martin Bourgoin to the Company's Board of Directors as an independent director, which was approved by the TSXV June 3, 2021.
4 SITUATION DE TRÉSORERIE

Au cours de son exercice 2020, la Société a réalisé deux financements (tous deux en décembre 2019) :
- un financement de 290 000 $ composé de 4 461 538 actions accréditives au prix de 0,065 $ l'action;
- un financement de 135 000 $, en émettant 2 700 000 actions ordinaires, au prix de 0,05 $ l'action; et 2 700 000 bons de souscription (au prix d'exercice de 0,10 $ l'action, et valides jusqu'au 20 décembre 2020).

4.1.1 Fiscal Year 2020
In Fiscal Year 2020, the Company completed two financings (both in December 2019):
- A financing of $290,000 by issuing 4,461,538 flow-through shares priced at $0.065 per share;
- A financing of $135,000 by issuing 2,700,000 common shares priced at $0.05 per share; and 2,700,000 warrants (at an exercise price of $0.10 per share, and expiring December 20, 2020).

4.1.2 Exercice 2021
Et au cours de son exercice 2021, la Société a également réalisé deux financements :
- un financement de 190 000 $ composé de 3 800 000 unités, chacune étant constituée d'une action au prix de 0,05 $ (mai 2020) et d'un bon de souscription (au prix d'exercice de 0,075 $ l'action, et valide jusqu'au 13 mai 2021);
- un financement de 396 500 $ composé de 6 100 000 actions accréditives au prix de 0,065 $ l'action (octobre 2020).
Dans le cadre du dernier financement, Typhon a payé des honoraires d'intermédiation en espèces totalisant 16 500 $ et émis 253 847 options de rémunération, chacune permettant à son détenteur de souscrire à une (1) action ordinaire de la Société au prix de 0,10 $ pour une période de 24 mois suivant la clôture du placement. Les titres émis dans le cadre du placement étaient assujettis à une période de conservation de quatre (4) mois et un (1) jour. Le produit brut du placement servira à faire avancer l'exploration sur les propriétés détenues par Typhon, notamment sur sa propriété Aiguebelle-Goldfields et sur sa nouvelle propriété Syénite Condor, au moyen d'analyses et de forages, tout en appliquant de hauts standards en matière de respect de l'environnement. La Société engagera des « frais d'exploration au Canada » admissibles qui se qualifieront au titre de « dépenses minières déterminées » au sens de la Loi de l'impôt sur le revenu (Canada) (les « dépenses admissibles »). Toutes les dépenses admissibles feront l'objet d'une renonciation en faveur des souscripteurs d'actions accréditives avec une date de prise d'effet au 31 décembre 2020.
Les financements accréditifs ont permis à Typhon d'effectuer de nouveaux travaux sur ses propriétés en 2020, et d'en planifier de nouveaux en 2021; tandis que les financements non accréditifs ont permis d'assurer la pérennité de la Société.
4.1.2 Fiscal Year 2021
And in Fiscal Year 2021, the Company completed two financings:
- A financing of $190,000 by issuing 3,800,000 units, each consisting of one share priced at $0.05 per share (May 2020) and one warrant (at an exercise price of $0,075 per share, and expiring May 13, 2021);
- A financing of $396,500 by issuing 6,100,000 flow-through shares, priced at $0,065 per share (October 2020).
In connection with this last placement, Typhoon paid finder fees in cash aggregating $16,500 and issued 253,847 compensation options, each entitling its holder to subscribe for one (1) common share of the Company at the price of $0.10 for a period of 24 months after the closing of the Offering. The securities issued as part of the private placement were subject to a four (4) month and one (1) day hold period. The gross proceeds of the placement will be used to advance exploration on the properties owned by Typhoon, including its Aiguebelle-Goldfields Property and its new Syenite Condor Property, through sample testing and drilling, making sure the highest standards in environmental protection are met. The Company will incur eligible "Canadian exploration expenses" that will qualify as "flow-through mining expenditures" within the meaning of the Income Tax Act (Canada) (the "Qualifying Expenditures"). All Qualifying Expenditures will be renounced in favour of the subscribers of the Flow-Through Shares effective December 31, 2020.
The flow-through financings allowed Typhoon to perform exploration work on its properties in 2020, and to plan some more exploration campaigns in 2021. And the non-flow-through financings have made it possible to ensure the Company's sustainability.
